Registration fees for comparison: an LLC registered electronically carries no state fee; the paper route has a state fee of AZN 15. Registering a branch or representative office of a foreign company carries a state fee of AZN 300.

The limited liability company (LLC)

The LLC is a common starting point. It is flexible, familiar to banks and suitable for most activities.

What an LLC needs

  • Founders: one or more individuals or companies, local or foreign.
  • A director: the person who manages the company. Whether the director needs a work permit or residence depends on their role, their ownership and the company. We check this for your case.
  • A charter: the company's founding document. The electronic route uses a standard charter.
  • A legal address: in Azerbaijan. Registered business address
  • Beneficial-owner information: filed at registration.
  • Founder documents: passports, and for corporate founders their company documents, with an apostille or consular legalisation where required.

What you receive

The registration certificate and register extract, which carry the company's tax identification number. They are delivered to the company's electronic tax cabinet, which is also the main channel for filings and exchanges with the tax authority.

Can I own 100%?

Yes, for most activities. A few regulated sectors limit foreign ownership, and we check yours.

Do I need a local shareholder?

Not for most activities. If your sector requires local ownership, we tell you at the start.

Do I need a local director?

Whether your director must live in Azerbaijan is a point we confirm for your case with a licensed lawyer. Separately, a foreign director may need a work permit or a residence basis, depending on their role, their shareholding and the company. We check both before anyone is appointed.

Do I need to be in Azerbaijan?

Not for every step. Registration can often be coordinated remotely. Some steps, such as a bank appointment or obtaining an Azerbaijani electronic signature, may require personal attendance. We tell you exactly which. What can be done remotely

Foreign documents need an apostille or consular legalisation, unless an international agreement exempts them.

Can the company be formed remotely?

Your legal address

Every Azerbaijani company has a legal address: where it is registered, and where official correspondence can reach it. Your registered address is the company's legal address.

  • Why it mattersthe address appears in the company register, and a change of address must be registered.
  • Tax communicationsfilings and exchanges with the tax authority run through the company's electronic tax cabinet, so it needs to be checked regularly. With your authorisation, we monitor it for you.

Tax: the overview every founder needs

This is general information, not tax advice. Your accountant confirms what applies to your company.

  • Profit tax20% of taxable profit, with an annual return and advance payments during the year.
  • VAT18%. Registration becomes mandatory once taxable turnover exceeds AZN 200,000 in any 12 consecutive months. From 2026, some card-terminal (POS) sales to consumers count at a reduced weight towards this threshold. A company can also register voluntarily. VAT returns are monthly.
  • Simplified taxan alternative regime for smaller businesses that are not VAT-registered, stay within a turnover limit and meet the other conditions in the Tax Code. Rates depend on the activity, and your accountant confirms whether the regime is available to you.
  • Property taxcompanies that own fixed assets may owe annual property tax; some exemptions apply.
  • Employer taxesincome tax withheld from salaries and social, unemployment and medical insurance contributions, reported quarterly. Payroll
  • E-invoices and cash registersVAT-registered businesses issue electronic tax invoices through the tax portal, and businesses that accept cash payments generally need a registered online cash register.

Beneficial ownership, kept current

Azerbaijan now keeps a register of the real people who own or control companies.

10%People holding 10% or more, directly or indirectly, must be reported as beneficial owners (UBOs).

What the rules say

  • A company registered in Azerbaijan is a resident for currency and banking purposes, whoever owns it.
  • Banks may open an account remotely for a company registered in Azerbaijan when its legal representative, usually the director, holds an Azerbaijani enhanced electronic signature and completes a video identification. Remote opening through any other authorised representative is not permitted.
  • Foreign nationals obtain the Azerbaijani electronic signature at an ASAN service centre with a residence document. A director without one cannot use the remote route, so the bank step is completed at a branch or as the bank otherwise requires. We confirm each bank's process before you travel.
  • Banks notify the State Tax Service of new accounts themselves.

  • Work permitsthe employer applies. A permit is issued for up to one year and can be extended.
  • Exemptionsheads of branches and representative offices of foreign companies, and registered entrepreneurs, do not need a work permit. Certain founders and company heads may also be exempt when their ownership and the company meet the conditions set by law. We check your case.
  • Residenceholding a work permit is a ground for temporary residence. The head of a company with a foreign founder, or a founder holding 51% or more, may also qualify where the company meets the capital, turnover and staffing conditions set by law and the government.

A trading company has everything an ordinary company has, plus a few extra layers.

Does your business need a licence or permit?

Some activities need a licence or permit in addition to company registration. Financial services such as banking and insurance are licensed under their own laws. Many other licences and permits can be applied for through the state's electronic licensing portal, and some are issued by sector regulators.

Frequently asked questions

Setting up

Can a foreigner own 100% of an Azerbaijani LLC?

Yes, for most activities. A foreign individual or company can own all of it. A few regulated sectors limit foreign ownership, and we check your activity at the start.

Do I need a local partner?

Not for most activities. A local shareholder is not generally required; a few regulated sectors are different, and we check yours.

Do I need a local director?

Whether your director must live in Azerbaijan is a point we confirm for your case with a licensed lawyer. Separately, a foreign director may need a work permit or a residence basis, depending on their role, their shareholding and the company. We check both before anyone is appointed.

What is an MMC?

MMC is the Azerbaijani abbreviation for a limited liability company (məhdud məsuliyyətli cəmiyyət), the most common company form.

How long does registration take?

The law sets a period of no later than two days from a complete application. Preparing the documents, especially apostilles abroad, usually takes longer than the registration itself.

Can I register remotely?

Often, yes: through the electronic procedure where an Azerbaijani enhanced electronic signature is available, or through a representative with a power of attorney. We tell you which route fits.

Do I need to visit Azerbaijan?

Not for every step. Some steps, such as a bank appointment or obtaining an Azerbaijani electronic signature, may require personal attendance. We plan them into as few visits as possible.

What documents do I need?

It depends on whether you are an individual or a company founder. Founder checklist

Do foreign documents need an apostille?

Yes, or consular legalisation, unless an international agreement exempts them.

Is there a minimum capital?

Not for a standard LLC.

Do I need a registered address?

Yes. Every company has a legal address, and changes to it must be registered.

When do I receive a tax number?

With the registration documents.

Tax, accounting and compliance

Does the company need accounting?

Yes. Companies keep accounts, file tax returns and prepare annual financial statements. A qualified accountant does this; we coordinate them.

When is VAT required?

When taxable turnover exceeds AZN 200,000 in any 12 consecutive months. From 2026, some card-terminal sales to consumers count at a reduced weight. Voluntary registration is possible. Your accountant confirms your position.

What is UBO reporting?

Reporting the people who ultimately own or control the company: anyone with 10% or more, directly or indirectly.

Can ALVERA manage ongoing compliance?

Yes. We run your compliance calendar, coordinate your accountant and remind you of each action and approval due.

Can ALVERA coordinate accounting?

Yes. We engage and coordinate a qualified accountant and supply your documents on time. We do not give tax advice ourselves.

Banking

Can ALVERA open the bank account for me?

We prepare your KYC file, coordinate the appointment, support you through it and follow up. The bank decides.

Do I need to attend the bank?

It depends on your electronic signature and on the bank. Remote opening needs an Azerbaijani enhanced electronic signature and a video identification. If your director does not have that signature, expect to attend a branch. We confirm the bank's process first.

Is a bank account guaranteed?

No. Account opening is the bank's decision under anti-money-laundering rules.

Residence, work and people

Can company formation give me residence?

Not on its own. Residence depends on your role, the company's position and the State Migration Service's decision. Residence & work

Do I need a work permit?

It depends. Heads of branches and representative offices of foreign companies, and registered entrepreneurs, do not need a work permit. Certain founders and company heads may also be exempt when their ownership and the company meet the conditions set by law. We check your case.

Can ALVERA handle payroll?

We coordinate payroll administration within the agreed scope, with a qualified accountant for calculations and filings.

Changes and ongoing support

Can you change directors or shareholders later?

Yes. We coordinate the documents and registration, and update beneficial-owner records and bank signatories.

Can you amend the charter?

Yes. Charter amendments are registered like other changes.

Can you help an existing company?

Yes. We can support a company that is already registered with compliance, banking, payroll or changes.

Can you help with office setup?

Yes, as an add-on: search, lease coordination, utilities, internet and furnishing, with contractors paid by you directly.

Can you help with government follow-up?

Yes. We book and attend appointments where appropriate, follow up documents and escalate issues through the proper channels. The authority decides.
